Force Majeure

Quarterstack shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, power failures, internet service provider failures, or any other cause beyond our control. In such circumstances, our obligations will be suspended for the duration of the force majeure event.

Intellectual Property

All intellectual property rights in our website, services, and related materials are owned by or licensed to Quarterstack. This includes, but is not limited to, trademarks, service marks, logos, designs, text, graphics, software, and other content.

You may not use our intellectual property without our prior written consent. Any unauthorized use may violate copyright, trademark, and other laws and could result in legal action. Work product and intellectual property created as part of specific service engagements are addressed in individual project agreements.

Termination

We reserve the right to terminate or suspend your access to our website and services at any time, with or without notice, for any reason including but not limited to violation of these Terms and Conditions, fraudulent activity, or conduct that we believe is harmful to our business or other users. Upon termination, your right to use our website and services will immediately cease. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Victoria, Australia for the resolution of any disputes arising from or relating to these Terms and Conditions or your use of our services. This choice of jurisdiction does not prevent us from seeking injunctive relief in any jurisdiction where a violation of these terms occurs.

Dispute Resolution

Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation. Either party may initiate this process by providing written notice to the other party describing the nature of the dispute.

If the dispute cannot be resolved through negotiation within 30 days, the parties agree to consider alternative dispute resolution methods such as mediation before pursuing litigation. However, nothing in this clause shall prevent either party from seeking immediate injunctive or equitable relief when necessary to protect their rights.

Severability and Waiver

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed from these Terms and Conditions, and the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Quarterstack.

Entire Agreement
